CONDITIONS OF PURCHASE, SALE AND DELIVERY
This document contains the conditions of sale and delivery that will regulate the terms and conditions under which TROCKNNER SpA sells its products to third parties, customers declare to know and accept the conditions indicated below:
1. Scope and validity
1.1 All deliveries of TROCKNNER Products will be subject to all the terms of these conditions of sale and delivery contained herein, unless specifically modified by means of a written agreement signed by both parties.
1.2 Any indication(s) entered by the client in a purchase order or any other document, will not be considered as a change in the conditions of sale and delivery indicated herein, unless they are expressly accepted by TROCKNNER in writing.
1.3 Both TROCKNNER and the Client have the capacity of merchants and, in such capacity, agree to these Conditions of Sale and Delivery.
2. Quotation
2.1 Requests for Products must be made in writing, duly received by TROCKNNER , and they must indicate the specific product(s), the quantity required, date and place of delivery.
2.2 TROCKNNER will send the Customer a price list for the line products or a written quotation specifying: the Products quoted, quantities, unit of sale, price per unit of sale and currency of sale. The Client will have a period of three (3) days to confirm his approval of TROCKNNER 's quote. Acceptance of a quote will be considered an irrevocable purchase order for all purposes. In the event that the Client does not accept the quote within the aforementioned period, it will automatically be without effect and, if the Products are required, the Client must request a new quote.
2.3 Any change or cancellation of a request or purchase order shall be subject to TROCKNNER 's written approval. The Client must compensate TROCKNNER , if it is verified, of all the costs and losses caused by the cancellation or change of his purchase order.
2.4 TROCKNNER reserves the right to invoice the Products ordered and manufactured according to the deadlines established by the Client, even if the dispatch of these has not materialized for reasons attributable to the client.
3. Price
3.1 The prices quoted are net, without taxes.
4. Payment
4.1 Payments will be made in cash, at least one (1) day prior to the delivery of the Products. Notwithstanding the foregoing, TROCKNNER may agree with the Client on different terms and methods of payment. In such a case, it will notify the Client of the agreed payment term once the administration and finance area has carried out a risk assessment. TROCKNNER reserves the right to modify credit terms and payment terms at its sole discretion.
4.2 In the event that the client does not comply with the payment during the established term, TROCKNNER may suspend without the right to claim, the shipments of products until the debt is settled.
4.3 The Customer shall not have the right to retain any part of the sale amount as a security measure for possible claims considered in other deliveries of TROCKNNER products. This retention will be considered a material breach of these conditions of sale.
4.3 In case of default or delay in the payment of an invoice, the amount owed will accrue the maximum interest that the law allows to stipulate for non-indexable money credit operations, from the date of its issuance and until the date of effective payment.
5. Buy
5.1 Production and processing equipment
After the contract is signed, according to the contract requirements, we first conduct a joint review of the specific drawings of the construction plan. 7. After-sales service plan
